Terms of Use

Using TwelveAI means giving authorized, reviewable financial instructions.

These terms describe the baseline rules for using TwelveAI to initiate transfers, pay bills, top up airtime, hold and use USD accounts, swap between naira and dollars, configure auto swap deposits, create and manage dollar virtual cards, work with multiple AI agents in one conversation, retrieve receipts, and interact with banking functionality through conversational prompts. They are intended as substantial platform terms for product presentation and internal review, and should be finalized with legal counsel before public launch.

Eligibility and account authority

Users must be legally capable of using the service and must only use TwelveAI in connection with accounts, wallets, or payment instruments they are authorized to access.

USD accounts, FX swaps, auto swap deposits, and dollar virtual cards may require additional identity verification, residency checks, or partner-specific eligibility criteria. Access to these features may be granted, limited, or withdrawn based on compliance reviews.

Use on behalf of a company, household, or third party may require additional authority, delegated permissions, or account-level approval structures as determined by the relevant financial product or partner institution.

User instructions and transaction accuracy

Users are responsible for ensuring that prompts, recipient details, biller identifiers, account numbers, meter references, transaction amounts, currencies, swap directions, auto-swap rules, and card limits are accurate before approval. TwelveAI may assist with interpretation, but the instruction remains user-authorized once confirmed.

For FX swaps, you are responsible for reviewing the quoted rate, amounts, fees (if any), and settlement currency before confirming. Rates may move between quote and execution where market conditions or partner rules require it.

For auto swap deposits, you are responsible for the rules you enable and for understanding that qualifying incoming deposits may be converted automatically without a separate manual confirmation, subject to the controls shown at setup.

For dollar virtual cards, you are responsible for spending limits, merchant use, and safeguarding access to your TwelveAI account. Unauthorized card use should be reported promptly through official support channels.

Where confirmation, step-up authentication, or verification is required, the transaction is not considered final until the relevant approval step has been completed successfully.

USD accounts and dollar wallets

USD account features allow you to hold, receive, and use dollars within the TwelveAI experience, subject to partner availability, limits, and regulatory requirements.

TwelveAI is a financial technology interface layer. USD custody, settlement, and certain account operations may be performed by regulated third-party partners whose terms and disclosures apply to the underlying account relationship.

Deposits, withdrawals, holds, and balance displays may be delayed, adjusted, or reversed where required by partners, compliance reviews, chargebacks, or error correction processes.

Foreign exchange, NGN swaps, and auto swap deposits

Swap features convert between supported currencies (such as NGN and USD) at rates determined at the time of quote or execution, which may include spreads, partner fees, or network costs disclosed or implied in the flow.

TwelveAI does not provide investment, trading, or financial advice. FX features are for operational currency conversion tied to your use of the product, not speculative trading.

Auto swap deposits execute according to the rules you configure. You agree that enabling auto swap may result in automatic conversion without further prompt when trigger conditions are met. You should review, update, or disable rules if your preferences change.

We may suspend swaps or auto swap where rates are unavailable, limits are exceeded, fraud is suspected, or partners cannot settle.

Virtual dollar cards

Dollar virtual cards are issued and processed through third-party card partners and networks. Card availability, merchant acceptance, international use, expiration, and decline reasons depend on partner and network rules outside TwelveAI’s direct control.

You may not use dollar cards for unlawful purchases, sanctions-prohibited activity, gambling where prohibited, cash-like abuse, or other restricted categories defined by partners or applicable law.

You authorize charges within your configured limits. Disputes, chargebacks, and refunds follow partner and network procedures and may require supporting information.

TwelveAI may freeze, reduce limits on, or cancel cards where fraud, abuse, or compliance concerns arise.

Multi-agent AI assistance

TwelveAI may route your conversation to specialized AI agents (for example, payments, FX, cards, or support). Agents are software assistants designed to help complete tasks; they are not human bankers, lawyers, or financial advisers unless explicitly stated otherwise.

Agent responses are based on available context, partner data, and system rules. You should verify amounts, rates, recipients, and card settings before approving any action.

Handoffs between agents do not change your responsibility for authorized instructions. Approvals and authentication requirements still apply before money moves or cards are changed.

We may log agent interactions for safety, quality, fraud prevention, and dispute resolution as described in the Privacy Policy.

Permitted and prohibited use

The platform may only be used for lawful, authorized, and legitimate financial activity. Users may not use TwelveAI to facilitate fraud, identity misuse, unauthorized access, sanctions evasion, money laundering, structuring, abusive FX activity, unauthorized card testing, harassment, abusive automation, or other prohibited conduct.

Users may not attempt to manipulate quoted FX rates, exploit auto-swap timing, use dollar cards for prohibited merchant categories, or misrepresent eligibility for USD or card products.

Attempts to bypass controls, manipulate conversational flows, exploit vulnerabilities, or submit deceptive instructions may result in declined transactions, card cancellation, suspension, investigation, or referral to relevant partners or authorities where required.

Service scope and availability

Specific features may depend on network providers, billers, partner banks, USD and card issuers, FX liquidity providers, payment rails, settlement windows, system uptime, and regulatory constraints in the relevant market.

USD accounts, swaps, auto swap deposits, dollar cards, and multi-agent routing may not be available to all users or in all regions at all times.

TwelveAI may add, remove, limit, pause, or decline certain services at any time, especially where fraud indicators, provider-side disruptions, licensing issues, FX market conditions, or compliance reviews affect safe operation.

Verification, compliance, and monitoring

We may apply identity verification checks, device validation, risk scoring, sanctions screening, transaction monitoring, FX and card spending limits, cooldown periods, or review holds where necessary to reduce abuse and maintain secure system behavior.

USD, swap, auto-swap, and card features may trigger enhanced due diligence, source-of-funds questions, or temporary holds consistent with partner and regulatory requirements.

Users acknowledge that some instructions may require manual or automated review before completion, and that additional information may be requested where required for fraud prevention, dispute handling, or legal compliance.

Fees, reversals, and third-party charges

Certain transactions may be subject to fees, taxes, network charges, FX spreads, card issuance or usage fees, or provider-specific pricing communicated through the interface, partner institution, or billing flow at the time of use.

Completed transactions may not always be reversible, particularly where funds have been settled, a swap has executed, an auto swap has run, airtime has been provisioned, or a card charge has been authorized. Refunds or reversals, where available, remain subject to partner rules, investigation outcomes, and applicable law.

FX outcomes are generally final once settled, except where partner error, regulatory requirement, or successful dispute resolution applies.

Receipts, records, and informational outputs

Receipts, balances, summaries, and transaction history,including naira and USD activity, swap confirmations, auto-swap execution logs, and card authorizations,are provided for convenience and operational transparency. Users should promptly review records and report any suspected error, unauthorized action, or discrepancy through official support channels.

AI-generated summaries and agent responses are informational aids. Official records for disputes may be the partner settlement file, card processor record, or bank statement rather than a chat transcript alone.

In the event of a discrepancy between a display layer and a regulated partner system of record, the partner record, settlement record, or legally binding financial record may control subject to applicable law.

Intellectual property and platform rights

The TwelveAI service, interface, branding, prompts, workflow design, documentation, and related software are protected by applicable intellectual property rights. Except where expressly permitted, users may not copy, reverse engineer, resell, or create derivative commercial services from the platform.

Feedback submitted by users may be used to improve the service, provided that such use does not transfer ownership of user personal data or override separate confidentiality commitments.

Disclaimers and limitation of liability

The service is provided on an as-available basis subject to applicable law, and we do not warrant uninterrupted availability, universal acceptance by every provider, real-time accuracy of every FX quote, uninterrupted auto-swap execution, merchant acceptance of every dollar card, or error-free interpretation of every conversational prompt.

Exchange rates, card authorization outcomes, and USD balance displays may be delayed or adjusted during reconciliation. TwelveAI is not responsible for losses arising from market movement between quote and execution where you have confirmed a transaction, except as required by law or partner policy.

To the maximum extent permitted by law, TwelveAI and its affiliates, service providers, and partners are not liable for indirect, consequential, incidental, special, or punitive damages arising from use of the service. Nothing in these terms excludes liability that cannot legally be excluded.

Suspension, termination, and changes

We may suspend or terminate access where necessary to protect users, investigate abuse, satisfy legal obligations, or respond to material breaches of these terms.

We may update the service and these terms from time to time. Continued use after an updated version becomes effective indicates acceptance of the revised terms, subject to any additional notice required by law.

Governing law and dispute handling

These terms may be governed by the laws designated in the final production version of the service terms, subject to mandatory consumer protections, payments regulations, and conflict-of-law rules that apply in the relevant jurisdiction.

Disputes should first be raised through official support channels to allow investigation and resolution. The final production terms should specify the governing venue, complaint escalation path, and any required dispute resolution framework after legal review.
